What happened
Xiaohongshu, also known as RedNote, said on 22 July 2026 that rumours about its initial public offering were not true. The Standard reported that the company had reportedly filed confidentially for an IPO by the end of June and was seeking a Hong Kong listing as soon as the end of 2026. Reuters, in a report dated 28 July, said the company had called the filing reports untrue and did not answer questions about its future listing plans.
The denial came amid a legal dispute with a former employee, Chen Hao, over his dismissal and stock options. Caixin reported that Chen said in a 29 June social media post that he had complained to Hong Kong's stock exchange and securities regulator and argued the dispute could raise disclosure concerns for any listing. The Standard said he alleged compliance risks in the disclosure of the company's variable interest entity (VIE) structure, centralised layoffs before option exercises and platform governance. It added that he filed a report with the China Securities Regulatory Commission on 7 July and supplementary reports with the exchange and the Cyberspace Administration of China on 21 July. It also cited a US$31 billion secondary-market valuation last September.
Key points
- On 22 July 2026 Xiaohongshu said rumours about its IPO were untrue.1
- Former employee Chen Hao complained to HKEX and the SFC, per a 29 June social media post.2
- He later filed with the CSRC on 7 July and supplementary reports with HKEX and the CAC on 21 July.1
- A secondary-market deal last September valued the company at about US$31 billion; major investors hope for more than US$70 billion.1
Why it matters
The company denied the filing reports and, per Reuters, did not answer questions on future listing plans. The end-2026 timing in The Standard is a report, not a company-stated timetable.
The complaints concern VIE disclosure, option-related layoffs and platform governance. Chen argued the dispute could raise disclosure and compliance concerns for any listing; the sources report no regulator response.
The last mark cited is the US$31 billion secondary-market valuation from last September. The US$70 billion figure is an investor hope, not a transaction price.
